Special Terms: Software Solutions (Leest, AI Agents)

Last updated: October 2026

Preamble

UNYX, a single-member private limited liability company (Société à responsabilité limitée à associé unique, EURL) with a share capital of EUR 1, registered with the RNE under SIREN number 100 489 004, whose registered office is located at 60 rue François Ier, 75008 Paris, France, represented by its Manager Michaël Haim Chiche (hereinafter "UNYX"). Contact: [email protected].

These special terms supplement the General Terms of Sale and Use ("General Terms"), as well as the Legal Notice, the Privacy Policy and the Cookie Policy available on unyx.studio. In the event of any conflict, these special terms shall prevail for the offer they govern. Matters not addressed herein remain governed by the General Terms.

These special terms apply to the subscription-based software solutions offered on unyx.studio: Leest (augmented to-do list) and the UNYX AI Agents (teams of expert agents), as well as to any similar solution referring to these special terms from its offer page.

Article 1. Reserved for Business Customers

This offer is reserved for business customers subscribing for the purposes of their professional activity. By subscribing, the Customer declares that it acts as a business and not as a consumer. The right of withdrawal provided for consumers does not apply to the subscription. UNYX may request any evidence of the Customer's business status.

Article 2. Free Trial

2.1. Where a seven (7) day free trial is offered, the bank card is registered upon sign-up (authorisation only, no charge during the trial). The paid subscription starts automatically at the end of the trial, unless cancelled before it ends (customer area or Stripe portal): in that case, nothing is due.

2.2. The trial is limited to one use per Customer and per company. "Free" offers requiring no card (e.g. Leest One) remain free for as long as they are offered, subject to reasonable use.

Article 3. Prices, Term and Termination

3.1. Prices are displayed in euros excluding taxes, per month; VAT is added. Invoicing is monthly in advance via Stripe.

3.2. The subscription carries no minimum commitment term (article 10.2 of the General Terms): it renews automatically on a month-to-month basis from the end of the trial, with automatic debit from the registered payment method, and may be terminated at any time without notice or fees (customer area, Stripe portal or [email protected]), with effect at the end of the current month.

3.3. The promotional subscription rate (e.g. −50%) is guaranteed for as long as the subscription remains active. Any price change is notified 30 days in advance, with the right to terminate without charge before it takes effect.

Article 4. Reasonable Use and AI Consumption

4.1. The subscription covers normal and good-faith use for a single company, within the limits (quotas, volumes, number of agents or lists) indicated on the offer page.

4.2. The artificial intelligence consumption included in the plan is understood to be subject to reasonable use; in the event of significant overuse, UNYX informs the Customer and proposes an adjustment (higher plan, additional scope or quote), with no additional charge that has not been approved.

4.3. The following are prohibited: resale or pooling of the service, mass scraping, circumvention of quotas and any unlawful use. Article 10.6 of the Subscription Terms applies by analogy.

Article 5. Nature of the Service and Liability

The content produced by the AI agents is decision support: the Customer must verify it before use and remains responsible for its use. UNYX has an obligation of means and does not guarantee any commercial result. Liability is capped at the amount excluding VAT paid for the subscription over the last twelve (12) months.

Article 5 bis. Artificial Intelligence

5 bis.1. These solutions are based on artificial intelligence systems operated by UNYX using models published by third parties. The systems, the models and the associated safeguards are described in the AI Charter, pursuant to Regulation (EU) 2024/1689. Article 12 bis of the General Terms applies.

5 bis.2. Any exchange with a conversational agent is identified as such from the first message. A human contact remains available at 09.60.05.73.66 or at [email protected].

5 bis.3. Content transmitted to the models for the performance of the service is not used to train those models.

5 bis.4. Where the Customer makes an agent provided by UNYX available to its own users, it becomes a deployer: it is responsible for informing those users that they are interacting with an AI system, for labelling any generated content it publishes and for ensuring human oversight (articles 4 and 26 of the Regulation).

5 bis.5. The use of the agents is prohibited for any practice banned by article 5 of the Regulation, for any high-risk use within the meaning of its Annex III, or to produce misleading content or content impersonating a third party.

Article 6. Governing Law and Jurisdiction

French law applies. Failing an amicable resolution within 30 days, the Paris Commercial Court (Tribunal de commerce de Paris) shall have exclusive jurisdiction between merchants; otherwise, the courts within whose jurisdiction UNYX's registered office is located shall have jurisdiction, to the extent permitted by law.
