Special Terms: Google Ads Management

Last updated: October 2026

Preamble

UNYX, a single-member private limited company (EURL) with a share capital of EUR 1, registered with the RNE under SIREN number 100 489 004, with its registered office at 60 rue François Ier, 75008 Paris, France, represented by its Manager Michaël Haim Chiche (hereinafter "UNYX"). Contact: [email protected].

These special terms supplement the General Terms of Sale and Use ("General Terms") as well as the Legal Notice, the Privacy Policy and the Cookie Policy available on unyx.studio. In the event of any conflict, these special terms prevail for the offer they govern. Matters they do not address remain governed by the General Terms.

These special terms apply to the services of creation, management and optimization of Google Ads campaigns offered on unyx.studio (the /google-ads and /google pages and related offers).

Article 1. Reserved for business customers

This offer is reserved for business customers subscribing for the purposes of their business activity. By subscribing, the Client declares that it is acting as a business and not as a consumer. The right of withdrawal provided for consumers does not apply to the subscription. UNYX may request any proof of the Client's business status.

Article 2. Fees and media budget

2.1. UNYX's management fees are displayed in euros excluding taxes on the offer page or in the quote; they are invoiced monthly.

2.2. The media budget is separate from the fees: it is paid directly to Google, preferably from the Client's billing account. UNYX does not collect the media budget and does not hold it as a custodian. The Client decides the amount invested and approves any significant change.

Article 3. Ownership of the account and assets

3.1. The Google Ads account belongs to the Client. Where UNYX creates the account for the Client, it is created in the Client's name, and the Client retains administrator access throughout the engagement.

3.2. At the end of the engagement, UNYX returns access and removes its own; the campaigns, audiences and history remain the property of the Client. UNYX's internal methods, scripts and tools remain the property of UNYX.

Article 4. Term

The management service is not subject to any minimum term (article 10.2 of the General Terms): it renews month to month and the Client may terminate it at any time, without notice or charge, with effect at the end of the current month. Access is then returned under the conditions of article 3.2.

Article 5. Platform-specific limitations

Results depend on the Google platform (auctions, algorithms, advertising policies, approvals). UNYX is bound by an obligation of best efforts and guarantees neither volume of clicks, leads or sales, nor ranking, nor acquisition cost. Suspensions, ad disapprovals or rule changes decided by Google do not constitute a breach by UNYX; UNYX will assist the Client in good faith in review procedures.

Article 6. Data and advertising compliance

The Client warrants that its landing pages, offers and advertising statements are compliant with the regulations applicable to its business. Conversion tracking relies on the Client's own measurement tools (tags, consent): the Client is responsible for obtaining the required consents on its own websites.

Article 6 bis. AI-assisted management

6 bis.1. Management relies on Léo, an artificial intelligence system operated by UNYX, which reads the Client's account, analyzes campaigns, queries and budgets, and drafts recommendations. The terms are set out in the AI Charter; article 12 bis of the General Terms applies.

6 bis.2. Sensitive actions are not applied automatically: they are prepared, submitted for human approval, logged and reversible. The Client may at any time request that AI-assisted management be stopped or that management return to being fully human.

6 bis.3. Recommendations are decision-support tools and carry no guarantee of results, in accordance with article 5 of these special terms. The budget invested remains decided by the Client.

6 bis.4. Account data transmitted to the models for the performance of the service is not used to train those models.

Article 7. Governing law and jurisdiction

French law. Failing amicable resolution within 30 days, the Paris Commercial Court (Tribunal de commerce de Paris) has exclusive jurisdiction between merchants; otherwise, the courts within whose jurisdiction UNYX's registered office is located, to the extent permitted by law.
