Affiliation Terms: Relay by UNYX

Preamble

UNYX, a French single-member private limited company (Société à responsabilité limitée à associé unique, EURL) with share capital of EUR 1, registered with the RNE under SIREN number 100 489 004, whose registered office is located at 60 rue François Ier, 75008 Paris, France, represented by its Manager (Gérant) Michaël Haim Chiche (hereinafter "UNYX"). These specific terms supplement the General Terms of Sale and Use ("General Terms") as well as the Legal Notice, the Privacy Policy and the Cookie Policy available at unyx.studio. In the event of any conflict, these terms prevail for the offer they govern. Matters they do not address remain governed by the General Terms.

Relay is UNYX's affiliate platform (accessible from the unyx.studio back office; tracking links served on relay.unyx.studio). It connects advertisers (who create campaigns and pay for conversions) with publishers (who promote the campaigns through tracking links). A single account may hold both roles. These terms apply to any use of Relay.

Article 1. Access and Status of the Parties

This offer is reserved for professionals subscribing for the purposes of their business. By subscribing, the Client declares that it is acting as a professional and not as a consumer. The right of withdrawal provided for consumers does not apply to the subscription. UNYX may request any proof of the Client's professional status.

Activation of an advertiser or publisher space constitutes acceptance of these terms. UNYX may make activation subject to moderation and may refuse or suspend an account in the event of fraud, of false declaration or of unlawful use.

Article 2. Advertiser Side: Credit and Campaigns

2.1. The advertiser tops up its account (payment via Stripe). The credit feeds a ledger: each validated conversion debits the commission amount from it.

2.2. Credit exhausted = campaigns automatically suspended, without compensation; they are reactivated upon top-up. Alerts are sent as the credit approaches exhaustion.

2.3. Credit does not bear interest. Any unused balance is refundable on request upon closure of the account, after deduction of conversions pending validation.

Article 3. Publisher Side: Promotion and Remuneration

3.1. The publisher promotes campaigns through the tracking links provided (relay.unyx.studio). Attribution is last click, with a window of thirty (30) days (parameters that may be specified per campaign).

3.2. Conversions follow this cycle: pending → validated → payable → paid. A safety period of thirty (30) days applies before a validated conversion becomes payable (cancellations, returns, anti-fraud checks).

3.3. Payments are issued monthly, as soon as the payable balance reaches the threshold of fifty (50) euros (otherwise carried over to the next cycle). A billing statement is generated for each payment. The publisher is solely responsible for its tax and social security obligations on the sums received.

Article 4. Anti-Fraud

The following are expressly prohibited: self-purchase, forced or deceptively induced clicks, bots and automation, cookie stuffing, impersonation of the advertiser's brand (including bidding on its brand where the campaign prohibits it), and any artificial conversion. Conversions detected as fraudulent are cancelled, including retroactively; established fraud results in exclusion and forfeiture of unpaid commissions, without prejudice to damages.

Article 5. Personal Data

Tracking links place an attribution identifier (90 days) on the visitor's device. The publisher undertakes to comply with the applicable regulations on its own channels (information and consent of its visitors). See the Privacy Policy and the Cookie Policy.

Article 6. Modification, Suspension and Closure

UNYX may change the platform, the rate schedules of new campaigns and these terms (with prior notification for any substantial modification). Each party may close its account at any time; conversions already validated follow their normal cycle through to payment.

Article 7. Governing Law and Jurisdiction

French law applies. Failing amicable resolution within 30 days, the Tribunal de commerce de Paris has exclusive jurisdiction between merchants; otherwise, the courts within whose jurisdiction UNYX's registered office is located have jurisdiction to the extent permitted by law.
